Prospor Platform

Prospor is a Software-as-a-Service (SaaS) platform that integrates with your email, calendar, and messaging services to provide AI-powered productivity enhancement. Our service includes:

• Email Intelligence: AI-powered email drafting, categorization, and management via Gmail API
• Calendar Integration: Smart scheduling and availability management through Google Calendar
• Task Management: Intelligent todo creation and project organization
• WhatsApp Notifications: Proactive messaging for briefings and reminders via Twilio
• AI Chat Assistant: Natural language interface for productivity tasks
• Semantic Search: Advanced email and document search capabilities

Service Availability

We strive for 99.9% uptime but cannot guarantee uninterrupted service due to maintenance, updates, or factors beyond our control including third-party service availability (Google, Twilio, OpenAI).

Account Requirements

• You must be at least 18 years old to create an account
• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must have a valid Google account for email and calendar integration
• Each account is for individual use only; sharing accounts is prohibited

Account Security

You are responsible for all activities that occur under your account. Immediately notify us of any unauthorized access or security breaches. We recommend using strong passwords and enabling two-factor authentication on your Google account.

Account Suspension

We may suspend or terminate accounts that violate these terms, engage in harmful activities, or pose security risks. We will provide reasonable notice except in cases of immediate threat.

Permitted Use

You may use Prospor for lawful business and personal productivity purposes including:

• Managing your email communications efficiently
• Scheduling meetings and managing calendar events
• Organizing tasks and projects
• Receiving productivity notifications and briefings
• Using AI assistance for email drafting and responses

Prohibited Activities

You agree not to:

• Use the service for illegal activities or to violate others' rights
• Send spam, unsolicited communications, or malicious content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Reverse engineer, decompile, or attempt to extract our source code
• Use automated tools to access the service beyond normal usage patterns
• Share, resell, or redistribute the service without written permission
• Upload malware, viruses, or any harmful code
• Violate applicable laws or regulations

Content Guidelines

While we don't monitor your private communications, you're responsible for ensuring your content complies with laws and doesn't infringe on others' rights. We may remove content that violates these terms.

Subscription Plans

We offer various subscription tiers with different features and usage limits:

• Free Plan: Basic features with usage limitations
• Pro Plan: Enhanced features and higher usage limits
• Enterprise Plan: Advanced features with custom limits

Billing & Payment

Subscription billing is handled through Stripe, our secure payment processor:

• Charges are billed in advance on a monthly or annual basis
• Payment methods are stored securely by Stripe, not by us
• Failed payments may result in service suspension after grace period
• All fees are non-refundable except as required by law
• Pricing may change with 30 days' notice to existing subscribers

Cancellation & Refunds

You may cancel your subscription anytime through your account settings. Cancellation takes effect at the end of your current billing period. We don't provide prorated refunds except where required by law or in cases of service unavailability.

Free Plan Limitations

Free accounts have usage limits and may have restricted access to newer features. We reserve the right to modify free plan limitations with reasonable notice.

Your Data Ownership

You retain ownership of all data you provide to Prospor including emails, calendar events, tasks, and personal information. We act as a data processor under applicable privacy laws.

License to Use Your Data

You grant us a limited license to process your data solely to provide our services including: AI-powered email assistance, calendar management, task organization, and notification delivery. This license terminates when you delete your account.

Data Security

We implement industry-standard security measures including encryption, access controls, and regular security audits. However, no system is 100% secure, and you acknowledge the inherent risks of internet-based services.

Third-Party Integrations

Our service integrates with Google, OpenAI, Twilio, and other third parties. Their terms and privacy policies apply to their respective services. We're not responsible for their data practices.

Our Intellectual Property

Prospor, including our software, algorithms, designs, trademarks, and documentation, is owned by Quixta Venture LLP and protected by intellectual property laws. You receive a limited, non-transferable license to use our service.

Restrictions

You may not:

• Copy, modify, or create derivative works of our software
• Reverse engineer or attempt to extract our source code
• Remove or alter our copyright notices or trademarks
• Use our intellectual property to create competing services

User-Generated Content

You retain rights to content you create using our service. However, our AI improvements and algorithmic enhancements remain our intellectual property.

DMCA Compliance

We respect intellectual property rights and comply with the Digital Millennium Copyright Act. Contact us at legal@getprospor.com for copyright infringement claims.

Service Disclaimers

Prospor is provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to:

• Merchantability and fitness for a particular purpose
• Uninterrupted or error-free operation
• Accuracy of AI-generated content or suggestions
• Security against all possible threats
• Compatibility with all devices or software

AI-Generated Content

Our AI features provide suggestions and automated responses. You're responsible for reviewing and approving all AI-generated content before use. We're not liable for consequences of AI-generated communications.

Limitation of Liability

To the maximum extent permitted by law, our liability is limited to the amount you paid for the service in the 12 months preceding the claim. We're not liable for indirect, incidental, or consequential damages including lost profits or data.

Third-Party Services

We integrate with third-party services (Google, OpenAI, Twilio, Stripe) and are not responsible for their availability, performance, or data practices. Service disruptions may occur due to third-party issues beyond our control.

Termination by You

You may terminate your account anytime through account settings. Termination is effective immediately for free accounts, or at the end of your billing period for paid subscriptions.

Termination by Us

We may terminate or suspend your account for:

• Violation of these terms or acceptable use policy
• Non-payment of fees after grace period
• Security threats or harmful activities
• Extended inactivity (2+ years with notice)
• Legal or regulatory requirements

Effect of Termination

Upon termination, your access to the service stops immediately. Your data will be deleted according to our retention policy (generally within 90 days). You may export your data before termination.

Survival

Provisions regarding intellectual property, liability limitations, dispute resolution, and governing law survive termination.

Informal Resolution

Before formal proceedings, we encourage resolving disputes through direct communication. Contact us at legal@getprospor.com with concerns, and we'll work toward a mutually acceptable solution.

Governing Law

These terms are governed by the laws of India, where Quixta Venture LLP is incorporated. Any disputes will be resolved in the courts of Bangalore, India.

Arbitration

For disputes exceeding ₹50,000, both parties may agree to binding arbitration under the Indian Arbitration and Conciliation Act, 2015, with proceedings in Bangalore.

Class Action Waiver

Disputes must be resolved individually. You waive rights to participate in class actions or representative proceedings, except where prohibited by law.

Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and Prospor. They supersede all prior agreements and understandings.

Modifications

We may update these terms to reflect changes in our service, laws, or business practices. Material changes will be communicated via email and in-app notifications 30 days in advance.

Severability

If any provision is found invalid or unenforceable, the remaining provisions continue in full force and effect. Invalid provisions will be modified to achieve their intended purpose.

Assignment

You may not assign or transfer your rights under these terms. We may assign our rights and obligations with reasonable notice, particularly in corporate transactions.

Force Majeure

Neither party is liable for performance delays due to circumstances beyond reasonable control including natural disasters, pandemics, government actions, or third-party service failures.
